Welcome to Asovex! These Terms of Service govern your access to and use of our association management platform. We've written them in clear, straightforward language because we believe transparency builds trust. Please read these terms carefully – they form a binding legal agreement between you and Asovex. By accessing or using our services, you agree to be bound by these terms.
Introduction & Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Asovex, Inc. ("Asovex," "we," "us," or "our") regarding your access to and use of the Asovex association management platform, including all related websites, applications, services, and tools (collectively, the "Service").
Agreement to Terms
By accessing or using the Service, you acknowledge that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 16 years of age (or the age of majority in your jurisdiction)
- You have the authority to enter into this agreement on behalf of yourself or your organization
- If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms
Supplemental Terms
Certain features or services may be subject to additional terms, policies, or guidelines ("Supplemental Terms"). If Supplemental Terms apply, we will make them available to you. Supplemental Terms become part of your agreement with us if you use those features or services.
Important Notice
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of those changes.
Description of the Service
Asovex is a comprehensive Software-as-a-Service (SaaS) platform designed specifically for associations, nonprofit organizations, and membership-based groups. Our Service helps you manage member relationships, streamline communications, process payments, organize events, and automate administrative tasks.
Member Management
Centralized database for member profiles, status tracking, and engagement metrics.
Event Management
Full event lifecycle support from registration to attendance tracking and follow-up.
Payment Processing
Secure dues collection, donation processing, and financial reporting.
Communication Tools
Email campaigns, announcements, and member notifications.
Eligibility Requirements
To use the Service, you must:
- Be at least 16 years old (or the age of majority in your jurisdiction)
- Provide accurate and complete information during registration
- Have the legal authority to enter into binding contracts
- Not be prohibited from receiving our services under applicable laws
- Use the Service only for lawful purposes consistent with these Terms
Service Modifications
We continuously improve and update the Service. We may:
- Add, modify, or remove features at any time
- Discontinue certain functionalities with reasonable notice
- Perform maintenance that may temporarily limit access

Free Plan Availability
We offer a free forever plan with basic functionality. Paid plans provide additional features and capacity. All plans are subject to these Terms.
Account Registration & Responsibilities
To access most features of the Service, you must create an account. You are responsible for maintaining the security and proper use of your account.

Supply true, accurate, current, and complete information about yourself and your organization as prompted.
Maintain Account Security
Keep your password confidential and immediately notify us of any unauthorized use of your account.
Update Information
Promptly update your account information if any changes occur to keep it current and accurate.
Account Security Responsibilities
You are solely responsible for:
- Password Confidentiality: Maintaining the confidentiality of your password and account credentials
- Device Security: Ensuring the security of devices used to access your account
- Access Control: Controlling access to your account by employees, contractors, or other personnel
- Monitoring Activity: Monitoring your account for any unauthorized activity
- Logout Procedures: Logging out at the end of each session, especially on shared devices
Account Suspension & Termination
We reserve the right to suspend or terminate your account if:
Immediate Suspension
- Violation of these Terms or applicable laws
- Engaging in fraudulent or illegal activities
- Attempting to compromise system security
- Non-payment of fees for paid plans
With Notice
- Extended periods of account inactivity (12+ months)
- Material misrepresentation during registration
- Use that negatively impacts other users
- Failure to respond to compliance inquiries
Account Transfer Prohibited
Your account is personal to you or your organization. You may not transfer, sell, or assign your account to any other person or entity without our prior written consent.

Billing & Payment Terms
Billing Cycles
Paid plans are billed on a monthly or annual basis, as selected during signup. Payments are automatically charged at the beginning of each billing cycle.
Upgrades & Downgrades
You may upgrade or downgrade your plan at any time. Plan changes take effect immediately, with prorated charges or credits applied to your next invoice.
Taxes
All fees are exclusive of applicable taxes, which will be calculated and added to your invoice based on your location and applicable tax laws.
Money-Back Guarantee
7-Day Satisfaction Guarantee
If you're not satisfied with a paid plan within the first 7 days of your subscription, contact our support team for a full refund. This guarantee applies only to your first payment on a new paid subscription.
Conditions:
- Refund requests must be made within 7 days of initial payment
- Only the first payment on a new paid subscription is eligible
- Refunds are not available for renewed subscriptions
- Refunds will be issued to the original payment method
- Processing may take 5-10 business days
No Refunds After Guarantee Period
After the 7-day money-back guarantee period, all payments are non-refundable, including:
- Partial months or years of service
- Unused features or capacity
- Subscription downgrades mid-cycle
- Account cancellations mid-cycle
If you cancel your paid subscription, you will continue to have access to paid features until the end of your current billing period.
Failed Payments
If a payment fails, we will:
- Notify you immediately and attempt to reprocess the payment
- Allow a 14-day grace period for payment resolution
- Suspend paid features if payment is not resolved within the grace period
- Downgrade your account to the Free Plan after 30 days of non-payment
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited activities include:
Illegal Activities
- Violating any applicable laws or regulations
- Facilitating or promoting illegal conduct
- Transmitting malicious code or malware
- Engaging in fraud or deceptive practices
Communication Abuse
- Sending unsolicited commercial email (spam)
- Harassing, threatening, or intimidating others
- Impersonating others or misrepresenting affiliation
- Collecting data from users without consent
Technical Violations
- Reverse engineering or decompiling the Service
- Attempting to gain unauthorized access
- Interfering with Service functionality
- Overloading system resources
Community Standards
- Uploading inappropriate or offensive content
- Violating others' intellectual property rights
- Sharing confidential information improperly
- Creating multiple accounts to evade restrictions
Email & Communication Standards
When using Asovex's communication features, you must comply with:
Consent Requirements
Ensure you have proper consent before adding members to mailing lists or sending commercial communications.
Unsubscribe Compliance
Include clear unsubscribe mechanisms in all commercial emails and honor opt-out requests promptly.
Content Guidelines
Do not send deceptive, misleading, or inappropriate content through our platform.
Consequences of Violation
Violations of this Acceptable Use Policy may result in immediate account suspension or termination, without refund. We may also report illegal activities to appropriate law enforcement authorities.
Intellectual Property
Our Intellectual Property
Asovex and our licensors own all rights, title, and interest in and to the Service, including all software, code, designs, graphics, text, interfaces, and the selection and arrangement thereof.

- Brand Elements: Logos, trademarks, and service marks
- Documentation: User guides, manuals, and help content
- Design Elements: User interface and experience designs
Your Intellectual Property
You retain ownership of the content you upload, create, or store using the Service ("User Content"). We claim no ownership rights over your User Content.

- Organization Content: Logos, branding, documents
- Created Content: Communications, event materials
- Uploaded Files: Documents, images, other media
License Grants
Our License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.
Your License to Us
By uploading User Content, you grant us a worldwide, non-exclusive license to store, process, and display that content solely to provide the Service to you.
Trademark Notice
"Asovex," the Asovex logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Asovex, Inc. or its affiliates or licensors. You must not use such marks without our prior written permission.
Feedback & Suggestions
If you provide us with feedback, suggestions, or ideas about the Service, you agree that we can use them without restriction or compensation to you.
User Content & Responsibility
You are solely responsible for all User Content that you upload, post, transmit, or otherwise make available through the Service. This includes member data, communications, documents, and any other content.
Content Standards
You represent and warrant that your User Content:
Is Lawful
Does not violate any laws or regulations
Is Non-Infringing
Does not violate intellectual property rights
Is Accurate
Is truthful and not misleading
Is Not Harmful
Does not contain viruses or malicious code
Content Moderation & Removal
While we do not routinely monitor User Content, we reserve the right to:
Review Content
Examine any User Content to ensure compliance with these Terms
Remove Content
Delete or disable access to content that violates these Terms
Suspend Accounts
Temporarily or permanently suspend accounts for violations
Report Violations
Report illegal content to appropriate authorities
Data Processing Responsibilities
When you upload member data or personal information:
- You are responsible for obtaining necessary consents
- You must comply with applicable data protection laws
- You grant us permission to process data to provide the Service
- You remain the data controller for your members' information
Backup Responsibility
While we maintain regular backups of our systems, you are responsible for maintaining your own backups of critical User Content. We recommend exporting important data regularly.
Termination & Suspension
Your Right to Terminate
You may terminate your account at any time by:
- Using the account deletion feature in settings
- Contacting our support team
- Simply stopping use of the Service
Note: Termination does not entitle you to refunds for unused subscription periods.
Our Right to Terminate
We may suspend or terminate your access to the Service:
- For violation of these Terms
- For non-payment of fees
- To comply with legal requirements
- For extended inactivity (12+ months)
Note: We will provide notice when reasonably possible, except in cases of imminent harm or legal requirement.
Effects of Termination
Upon termination of your account:
Access Suspended
You will immediately lose access to the Service and your account
Data Retention
We retain your data for 30 days to allow for account recovery requests
Backup Deletion
All your data is permanently deleted from our active systems and backups
Archival Records
Certain anonymized usage data may be retained for analytics and legal compliance
Data Export Before Termination
Before your account is terminated, we recommend:
- Exporting all member data using our export tools
- Downloading important documents and files
- Saving configuration settings you may want to reuse
- Notifying any connected service providers

If you need help exporting data before termination, contact our support team. We're here to help ensure you can transition smoothly.
Limitation of Liability
Important Limitations
To the maximum extent permitted by law, Asovex's liability to you is limited as described in this section. These limitations apply regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.
Exclusion of Damages
In no event will Asovex be liable for any:

Lost profits, revenue, or savings
Consequential Damages
Business interruption or loss of opportunity
Data Loss
Cost of recreating lost data (except as required by law)
Third-Party Claims
Damages arising from your use affecting others
Liability Cap
Free Plan Users
Our total liability to Free Plan users is limited to $100 USD or the amount you paid us in the last 12 months, whichever is greater.
Paid Plan Users
Our total liability to Paid Plan users is limited to 12 times the amount you paid us in the 12 months preceding the claim, or $10,000 USD, whichever is less.
Exceptions to Limitations
These limitations do not apply to:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be limited by law
- Breaches of data protection obligations where applicable law provides for specific liabilities
Jurisdictional Variations
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.
Indemnification
You agree to defend, indemnify, and hold harmless Asovex and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service.

Our Responsibilities
We agree to:
- Promptly notify you of any claim subject to indemnification
- Allow you to control the defense and settlement (at your expense)
- Provide reasonable cooperation in the defense
- Not settle any claim without your consent (not to be unreasonably withheld)
Insurance Recommendation
We recommend that associations maintain appropriate insurance coverage for their operations, including general liability and errors & omissions insurance.
Governing Law & Dispute Resolution
Governing Law
These Terms and any disputes arising out of or relating to these Terms or the Service will be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Dispute Resolution Process
Informal Resolution
First, contact our support team to attempt to resolve the dispute informally. Most issues can be resolved through direct communication.
Formal Notice
If informal resolution fails, provide written notice of the dispute to legal@asovex.com, including a detailed description and proposed resolution.
Mediation
If still unresolved, both parties agree to attempt mediation through a mutually agreed-upon mediator before pursuing arbitration or litigation.
Binding Arbitration
If mediation fails, disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
Class Action & Jury Trial Waiver
Both parties agree that:
No Class Actions
All disputes must be brought in the parties' individual capacity, not as a plaintiff or class member in any class or representative action.
No Jury Trials
Both parties waive the right to a trial by jury in any action or proceeding arising from these Terms.
Arbitration Details
- Location: Arbitration will take place in Wilmington, Delaware
- Language: Proceedings will be conducted in English
- Costs: Each party bears its own costs, but we may cover filing fees for claims under $10,000
- Confidentiality: Arbitration proceedings are confidential
- Award: The arbitrator's award may be entered as a judgment in any court of competent jurisdiction
Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies. This exception does not allow class actions or representative actions in small claims court.
Changes to Terms
We may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes as described below.

For material changes, we will email registered users at least 30 days before changes take effect.

We will post a prominent notice on our website and within the platform dashboard.
In-Platform Alerts
Important changes may be highlighted through in-platform notifications.
Acceptance of Changes
By continuing to use the Service after changes become effective, you agree to be bound by the revised Terms. If you do not agree to the changes, you must stop using the Service before the changes take effect.
